

HMT Corporate Finance, led by partner Doug MacLeod, advised the shareholders of CCS Insight on restructuring the shareholdings of the business in order to provide both direct and deferred equity incentives to staff.

Being a “people” business requires that the staff, who represent the goodwill of the business, need to have their objectives aligned with that of the company, in order to maintain and grow that goodwill. The existing directors and shareholders, together with HMTCF, believed that the most effective way of achieving this was to provide equity in the business, so that, as the business continues to grow in value, the staff can see that their personal wealth grows too.
